Wholesale Terms
LITTLE TROUBLE WHOLESALE TERMS & CONDITIONS
These Wholesale Terms & Conditions (“Terms”) govern the wholesale relationship between Little Trouble (“we,” “us,” or “our”) and the purchasing retailer or account (“you,” “your,” or “Retailer”). By placing an order, you acknowledge and agree to these terms in full.
1. MINIMUM ORDER & FREIGHT PROGRAM

Minimum Order Value: USD $1,000

Minimum Quantity: 25 units per style
Freight Charges: -
10% of total order value for orders < $5,000
-
9% of total order value for orders between $5,000 - $10,000
-
8% of total order value for orders > $10,000
-
Shipping Terms: Orders are shipped DDP (Delivered Duty Paid) directly from our factory to your specified shipping address.

Deposit & Payment Terms:

A 30% deposit is required before order processing.
-
Full payment is due before shipment is released.
-
Accounts must be in good standing to place reorders.
-
Exclusions: Closeout items do not apply toward the minimum order value.

Price Changes: Prices are subject to change without prior notice.

Product Development: We reserve the right to improve, alter, or discontinue products at our discretion.
2. PRICING, PAYMENTS & CREDIT

All prices are in USD.

Suggested Retail Price (SRP) must be honored unless otherwise agreed in writing.

Net terms may be offered to pre-approved accounts; otherwise, payment in full is required prior to shipment.

Orders will not ship unless payment is current and in full.

Failure to pay balance owed within 30 days will forfeit the product and the deposit
3. ORDER PROCESSING & LEAD TIMES
-
Wholesale orders are placed on a schedule and all product ETA’s will be clearly noted at the time orders are placed and confirmed via email.

Any closeout items will be sent via email for purchase with immediate delivery options.
4. SHIPPING WINDOWS, CANCELLATIONS & DAMAGES
-
Little Trouble will ship orders early when possible unless otherwise specified by the account
-
Cancellations:
-
Must be submitted at least 30 days prior to the ship date to avoid penalties.

Cancellations made within 30 days of ship date will forfeit the full deposit.

Failure to pay any balance owed within 30 days will incur a 5% surcharge.

Failure to pay any balance owed within 60 days will forfeit the product and the deposit.

Damages:

Shipping discrepancies and damage must be reported to Little Trouble within 5 days of delivery.
5. BRAND GUIDELINES & INTELLECTUAL PROPERTY

All product names, designs, graphics, logos, and brand elements are the exclusive property of Little Trouble.

You may not rebrand, modify, relabel, or create derivative works using our product or brand assets.
-
Marketing materials, logos, and imagery may be used solely for the promotion of Little Trouble products.
-
Unauthorized use or reproduction of any intellectual property will result in immediate termination of the wholesale relationship and may lead to legal action.
6. MAP DROP PERIODS & ONLINE RESTRICTIONS

All Minimum Advertised Pricing (MAP) promotions must fall within approved drop windows communicated through our wholesale email list.

Retailers may not advertise or discount Little Trouble products outside of these periods without express written permission.

Reselling on third-party platforms (such as Amazon, Walmart Marketplace, eBay, etc.) is strictly prohibited.
7. ONLINE ADVERTISING & KEYWORD BIDDING

Retailers are strictly prohibited from bidding on any Little Trouble® branded keywords or close variations thereof (e.g., “Little Trouble clothing,” “Little Trouble kidswear,” “LT kidswear”) on search engines, social media platforms, or marketplace ad platforms (e.g., Google Ads, Meta Ads, TikTok, etc.).

This includes, but is not limited to:

Paid search advertising (Google, Bing, Yahoo, etc.)

Shopping ads using Little Trouble-branded terms
-
Sponsored posts or boosted content targeting branded keywords

Violation of this policy will result in immediate termination of the wholesale account and potential legal action.
8. TERRITORIAL & CHANNEL RESTRICTIONS

Little Trouble reserves the right to limit distribution in certain regions or restrict accounts that overlap with existing exclusive partners.

All online storefronts, brick-and-mortar locations, and sales channels must be disclosed in advance and approved by Little Trouble.
9. ACCOUNT TERMINATION
-
We reserve the right to terminate any wholesale account at our discretion if terms are violated, invoices are unpaid, brand integrity is compromised, or resale conditions are breached.
10. MODIFICATIONS TO TERMS
-
These terms may be updated at any time.
Continued ordering or correspondence will constitute your acceptance of any revised terms.
